1. Definitions
"SD Digital Agency", "we", "us", "our" — SD Digital Agency, the operator of https://www.sddigitalagency.com and related services.
"Buyer" — a business or individual that purchases leads from SD Digital Agency.
"Lead" — a record (contact details and associated metadata) submitted by a consumer via a landing page or other collection method and offered for sale to Buyers.
"Platform" — the website, dashboards, APIs, and services SD Digital Agency provides to capture, enrich, score, and deliver Leads.
2. Our Services
SD Digital Agency operates a lead generation platform that (a) creates and hosts consumer-facing landing pages, (b) captures prospective customer contact details and requirements, (c) enriches and scores leads, and (d) delivers leads to Buyers via real-time delivery, API, or dashboard. Our initial verticals include Commercial Cleaning and Commercial Insurance, with future expansion into other industries.
We provide a tiered offering (subscription or per-lead) described in our dashboard and sales documentation. Specific features, limits, guarantees and SLAs (if any) are documented in your plan or purchase confirmation.
3. Accounts & Registration
To buy Leads you must register for an account, provide accurate information, and maintain secure login credentials. You are responsible for all activity under your account and must notify us immediately of any unauthorized use.
We may verify identity and request additional documentation (KYC) for certain Buyers. We reserve the right to refuse service, suspend or terminate accounts for fraud, misuse, or non-compliance with these Terms.
4. Lead Delivery & Quality
Availability and Delivery: Leads may be delivered in real-time via API, webhook, portal or bulk export depending on your plan. Delivery windows and formats are defined in your plan or integration documentation.
Quality & Verification: We validate lead contact details (phone, email) and may perform basic intent checks and enrichment. However, Leads are supplied "as is" and Buyers are responsible for their own verification and due diligence prior to contacting prospects.
Deduplication: Buyers are responsible for deduplication and matching to internal databases. We provide dedupe metadata where available, but do not guarantee uniqueness across all Buyers or channels.
Dispute & Refunds: If you believe a Lead materially fails to meet the quality terms stated in your plan, you must file a dispute within the timeframe specified in your plan (typically within 24–72 hours of delivery). Disputes must include supporting evidence. Refunds, credits or replacements are subject to our review and policy; see the Pricing, Billing & Refunds section below.
5. Pricing, Billing & Refunds
Pricing: Prices (per lead, subscription, or bundles) are presented on our dashboard, quotes or sales documents. Prices exclude applicable taxes unless otherwise stated.
Billing: We invoice or charge via the payment method you provide (e.g., Stripe). Payment terms are defined in your order confirmation. Failure to pay may result in suspension of delivery.
Refunds: Refunds are exceptional and governed by the lead-quality and dispute policy. Filing a timely dispute with evidence is required. We do not refund for Buyer misuse or non-compliance with applicable laws (e.g., contacting number blocked by local regulations).
Chargebacks: Reversed payments and chargebacks may result in immediate suspension and collection actions.
6. Buyer Obligations
- Comply with all laws and industry regulations (including telemarketing and privacy laws such as TCPA where applicable).
- Use Leads only for the intended purpose described at purchase and do not resell leads unless explicitly permitted in writing.
- Protect personal data obtained via Leads and follow security best practices.
- Honor Do-Not-Call (DNC) requests and other consumer preferences.
Failure to comply may result in suspension, termination, and indemnification obligations (see Indemnification below).
7. Data Collection, Use & Sharing
We collect consumer data on landing pages and forms (name, phone, email, business details, etc.) and use it to match and deliver interested prospects to Buyers. By using our platform, Buyers acknowledge that consumer data will be shared with Buyer organizations as part of lead delivery.
We may share data with:
- Buyers and contracted partners required to deliver leads or provide services (e.g., enrichment providers, notification providers);
- Service providers (payments, analytics, email/SMS delivery, hosting);
- Law enforcement or regulators if required by law or to protect rights and safety.
Third-party processors may include but are not limited to: Stripe (payments), SendGrid (email), Twilio (SMS/calls), OneSignal/FCM (push notifications), hosting/CDN providers, and analytics providers. See our Privacy Policy for full details.
8. Privacy & Cookies
We process personal data in accordance with our Privacy Policy. Buyers must also have appropriate privacy notices if they contact or market to consumers obtained via our platform.
We and our partners may use cookies, analytics and tracking tools (Google Analytics/gtag, advertising pixels) to optimize campaigns and measure performance. See Privacy Policy for full cookie and tracking details.
9. Intellectual Property
All content, trademarks, logos, and software on the Platform are owned or licensed by SD Digital Agency. Buyers may not copy, reproduce, or create derivative works from the Platform except as permitted in writing.
10. Disclaimers & Limitation of Liability
Disclaimer: Except where prohibited by law, the Platform and Leads are provided "as is" and "as available" without warranties of any kind, either express or implied.
Limitation of liability: To the maximum extent allowed by law, SD Digital Agency's aggregate liability for claims arising under these Terms is limited to the total amount paid by Buyer for the affected Leads in the 6 months preceding the claim. SD Digital Agency will not be liable for indirect, incidental, special or consequential damages.
11. Indemnification
Buyers agree to indemnify and hold SD Digital Agency harmless from any losses, liabilities, claims, damages, and expenses (including reasonable attorneys' fees) arising from Buyer’s use of the Leads or breach of these Terms, including failure to comply with applicable laws and regulations.
12. Termination
We may suspend or terminate access for any user in the event of breach, fraudulent activity, non-payment, or illegal conduct. Upon termination, outstanding fees remain payable and Buyer’s access to the dashboard and lead delivery will cease.
13. Changes to These Terms
We may modify these Terms from time to time. Material changes will be communicated by email or via the Platform with reasonable notice. Continued use after changes constitutes acceptance of the updated Terms.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of the state or country where SD Digital Agency is headquartered (please contact us for exact jurisdiction). Any disputes will be resolved in the competent courts of that jurisdiction unless otherwise agreed in writing.
